Governance and Transparency

No part of the net earnings, income, or assets of the Foundation shall benefit or be distributable to any founder, director, officer, advisor, employee, member, donor, or private individual. The Foundation may pay reasonable compensation for services rendered and may make payments and distributions in furtherance of its exempt purposes.

No substantial part of the activities of the Foundation shall consist of carrying on propaganda or otherwise attempting to influence legislation. The Foundation shall not participate in, intervene in, or contribute to any political campaign on behalf of or in opposition to any candidate for public office. The Foundation may engage in nonpartisan educational activities and public communication consistent with its exempt purposes and applicable law.

The Foundation shall adopt and maintain a written Conflict of Interest Policy. All directors, officers, advisors, investigators, committee members, employees, consultants, and other individuals acting on behalf of the Foundation shall disclose actual, potential, or perceived conflicts of interest. Conflicts shall be reviewed, managed, or resolved according to the Conflict of Interest Policy and applicable law.

[06] INTELLECTUAL PROPERTY

All research activities supported, sponsored, or conducted by the Foundation shall comply with applicable ethical, legal, institutional, and regulatory requirements. Where applicable, research involving human subjects, patient data, biological materials, clinical records, imaging data, or protected health information shall require appropriate institutional review, authorization, data use agreements, privacy protections, and regulatory compliance.

The Foundation may support the creation, management, harmonization, and analysis of research data. All data-related activities shall comply with applicable laws, institutional requirements, privacy regulations, data use agreements, and ethical standards. The Foundation shall not claim ownership of institutional, clinical, or patient data unless such ownership or rights are explicitly established through written agreements.

The Foundation may support the development of intellectual property, including software, algorithms, databases, educational materials, inventions, models, methods, reports, and research tools. Ownership, licensing, commercialization, publication rights, authorship, and revenue sharing related to intellectual property shall be governed by applicable law and separate written agreements.

[07] GRANTS & DISTRIBUTIONS

[09] DISSOLUTION

The Foundation may make grants, awards, stipends, scholarships, or other distributions to individuals or organizations if such distributions further the Foundation’s exempt purposes. All grants and distributions shall be awarded through fair, transparent, and mission-aligned processes. No grant or distribution shall be used for private benefit, political activity, or purposes inconsistent with Section 501(c)(3).

The Foundation shall maintain accurate books, records, minutes, financial statements, policies, and other documents required by law or good governance practices. The Board of Directors shall oversee financial accountability, programmatic integrity, and compliance.

Upon dissolution of the Foundation, after payment or provision for payment of all lawful debts and liabilities, all remaining assets shall be distributed exclusively for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code. No assets shall be distributed to any private individual, director, officer, founder, member, donor, or employee.
